These Terms & Conditions ("Terms") govern your purchase, subscription, and use of Superior Suite and related software and services provided by Legendary Success LLC ("Company," "we," "us," "our"), including our white-labeled SaaS platform based on High Level technology ("Service"). By purchasing, subscribing to, or using our Service, you ("Customer," "you," "your") agree to be bound by these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT PURCHASE, SUBSCRIBE TO, OR USE OUR SERVICE.

1. Service Overview & Third-Party Platform Disclosure

Superior Suite is a subscription-based software platform designed to help businesses manage marketing, communications, and automation. IMPORTANT: Superior Suite is built on and powered by High Level's white-label platform. While we provide customer support and billing services, the underlying technology infrastructure is provided by High Level. You acknowledge that:

  • The core platform functionality is dependent on High Level's services

  • High Level's terms of service and acceptable use policies also apply to your use of Superior Suite

  • Service availability may be affected by High Level's platform performance or maintenance

  • Certain features and limitations are determined by High Level's platform capabilities

Access is provided via secure online login credentials, which will be delivered upon purchase or account activation.

2. Account Registration & Security

You must provide accurate, complete, and current information during registration. You are solely responsible for:

  • Maintaining the confidentiality of your login credentials

  • All activity under your account, including actions by sub-users or team members

  • Promptly notifying us of any unauthorized access or security breaches

  • Ensuring your account information remains current and accurate

3. Subscription Plans, Free Trials & Billing

Plans – We offer monthly and annual subscription plans. The plan you select at checkout determines your billing cycle, access level, and feature availability.

Billing – All subscription fees are billed in advance on a recurring basis according to your chosen plan. Billing dates are based on your initial subscription date.

Free Trial – If applicable, free trials are subject to the following:

  • No charges apply if you cancel before the trial period ends

  • Failure to cancel before trial expiration results in automatic billing for the selected plan

  • Trial access may include feature limitations or usage caps

  • Only one free trial per customer/business entity

Payment Authorization – You authorize us to charge your selected payment method automatically on each billing date. You must maintain a valid payment method and ensure sufficient funds are available.

Price Changes – We reserve the right to modify subscription pricing with 30 days' written notice. Existing subscribers will be grandfathered at current rates until their next renewal period.

3.1 Special Promotions and Discounts

MLM/Network Marketing Discounts

When we offer discounts to new distributors of MLM companies:

  • Software purchase is entirely optional and not required for MLM participation

  • Discount applies only to our business software, not MLM enrollment or fees

  • Superior Suite operates independently of any MLM compensation plans

  • Business success depends on distributor efforts, not software tools

  • Software purchase cannot be made a requirement for MLM advancement, commissions, or rank progression

  • All discounts are subject to verification of new distributor status

  • Discounts are time-limited and cannot be combined with other offers

4. Usage-Based Charges & Overages

In addition to your base subscription fee, you may incur additional charges based on usage that exceeds your plan's included allocations. These charges include but are not limited to:

  • SMS/MMS messages beyond plan limits

  • Phone calls (inbound & outbound) exceeding included minutes

  • Email sends above plan allocations

  • AI feature usage (content generation, automations, analysis)

  • Premium triggers, actions, and integrations

  • Email / Phone Verifications

  • Additional user seats or sub-accounts

  • Advanced reporting and analytics features

Important Notes:

  • Usage-based charges are billed at rates in effect at time of use

  • Rates are subject to change with 30 days' notice

  • All usage-based charges are final and non-refundable

  • You can monitor usage through your account dashboard

  • We may set usage limits to prevent unexpected charges

  • SMS & phone rates may vary based on user's region/country and current Superior Suite subscription. The current rates for your account may be requested by contacting Superior Suite support.

5. No Refund Policy

ALL SALES ARE FINAL. We do not provide refunds, credits, or prorated billing for any reason, including but not limited to:

  • Unused subscription time

  • Dissatisfaction with Service features or performance

  • Account inactivity or lack of use

  • Technical difficulties or service interruptions

  • Changes in business needs or circumstances

  • Duplicate purchases or billing errors

If you cancel your subscription, you retain access until the end of your current billing period but receive no refund for the remaining term.

Chargeback Waiver: By purchasing Superior Suite, you explicitly waive your right to initiate chargebacks, payment disputes, or bank reversals for services rendered. You acknowledge that:

  • Superior Suite is delivered immediately upon purchase through account access

  • You have received the contracted services if you have accessed your account

  • Chargebacks for delivered digital services constitute breach of contract

  • You agree to resolve any billing disputes directly with Legendary Success LLC before involving financial institutions

6. Upgrade & Downgrade Policy

Upgrades: You may upgrade your plan at any time. Upgrades take effect immediately, and billing adjustments are prorated based on your billing cycle.

Downgrades: Plan downgrades take effect at your next billing cycle. No credits or refunds are provided for downgrades. Feature access may be immediately restricted upon downgrade request.

7. Cancellation Policy

You may cancel your subscription by:

  • Using the cancellation process in your account dashboard, OR

  • Contacting our support team with written cancellation request

Cancellation Requirements:

  • Requests must be received before your next billing date to avoid charges

  • Cancellations are effective at the end of your current billing period

  • You remain responsible for all charges incurred before cancellation

  • Account data may be deleted after cancellation (see Data Retention Policy)

7.1 Fraudulent Payment Methods & Chargebacks

Fraudulent Payments: If we determine that fraudulent payment methods were used for your account, we reserve the right to:

  • Immediately suspend or terminate your account without notice

  • Reverse any credits or services provided

  • Report fraudulent activity to appropriate authorities

  • Pursue legal action and collection of damages

Payment Verification: We reserve the right to verify payment methods and may require additional documentation to confirm the legitimacy of payments, including government-issued ID, bank statements, or other verification documents.

Customer Chargeback Policy: By subscribing to Superior Suite, you acknowledge and agree that:

  • Chargebacks for services already rendered constitute breach of contract and potential fraud

  • You waive your right to dispute charges through your credit card company or bank for services you have received and used

  • Initiating a chargeback after receiving services may result in immediate account termination and collection action

  • You are liable for all costs associated with defending against wrongful chargebacks, including but not limited to:

    • Chargeback fees imposed by payment processors

    • Administrative costs and staff time

    • Legal fees and collection costs

    • Lost revenue and business disruption damages

Chargeback Consequences: If you initiate a chargeback against Legendary Success LLC:

  • Your account will be immediately suspended or terminated

  • All data and access will be revoked without backup or recovery options

  • You remain liable for the full subscription amount plus additional fees and costs

  • We reserve the right to pursue collection through third-party agencies or legal action

  • Your information may be reported to chargeback prevention databases

  • Future service applications may be denied

Legitimate Disputes: If you have a legitimate billing dispute, you must contact our support team BEFORE initiating any chargeback. We will work in good faith to resolve valid concerns through our internal dispute resolution process.

Chargeback Monitoring: Customers with chargeback history may be subject to:

  • Enhanced payment verification requirements

  • Prepayment or deposit requirements for future services

  • Monthly rather than annual billing options only

  • Additional terms and conditions

  • Terminate your account immediately

8. Acceptable Use Policy

You agree to use the Service in compliance with all applicable laws and regulations. PROHIBITED USES include but are not limited to:

  • Sending unsolicited communications, spam, or violating anti-spam laws

  • Violating CAN-SPAM, TCPA, GDPR, or other applicable regulations

  • Uploading malicious code or attempting system security breaches

  • Infringing intellectual property rights

  • Impersonating others or providing false information

  • Using the Service for illegal activities or fraudulent purposes

  • Reverse engineering, copying, or competing with our Service

  • Excessive usage that impacts system performance for other users

  • Engaging in fraudulent business practices, including but not limited to:

    • Selling counterfeit, stolen, or illegal products/services

    • Making false claims about products or services

    • Operating pyramid schemes, Ponzi schemes, or other deceptive business models

    • Conducting bait-and-switch advertising

    • Failing to deliver promised products or services

    • Violating consumer protection laws or regulations

  • Using the Service to facilitate money laundering, tax evasion, or other financial crimes

  • Creating fake reviews, testimonials, or endorsements

  • Engaging in high-risk merchant activities without proper disclosure and compliance

Enforcement: We reserve the right to suspend or terminate accounts violating these terms immediately, without notice or refund, and pursue legal remedies.

8.1 SMS/Text Messaging Terms

If you use Superior Suite's SMS/text messaging features, the following additional terms apply:

Superior Suite SMS Program:

  1. Superior Suite's SMS service may send you business communications, marketing messages, appointment reminders, and automated notifications who have opted in to receive such messages.

  2. You can cancel the SMS service at any time. Simply text "STOP" to the shortcode. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

  3. If you experience issues with the messaging program, reply with the keyword HELP for more assistance, or reach out directly to our support.

  4. Carriers are not liable for delayed or undelivered messages.

  5. As always, message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies. For questions about your text plan or data plan, contact your wireless provider.

  6. For privacy-related inquiries, please refer to our privacy policy.

Your SMS Compliance Responsibilities:

  • You are solely responsible for obtaining proper consent before sending SMS messages to your customers

  • You must comply with all applicable laws including TCPA, CAN-SPAM Act, and carrier guidelines

  • You must provide clear opt-out instructions in your messages

  • You are responsible for maintaining opt-out lists and honoring unsubscribe requests

  • All SMS communications must be relevant to your business relationship with recipients

9. Intellectual Property Rights

Our Rights: All intellectual property rights in Superior Suite, including software, content, trademarks, and proprietary methods, remain owned by Legendary Success LLC and/or High Level.

Your Rights: You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription term, subject to these Terms.

User Content: You retain ownership of content you upload but grant us a worldwide, royalty-free license to use, store, and process such content to provide the Service.

10. Data Privacy & Security

We are committed to protecting your data in accordance with our Privacy Policy, which is incorporated by reference. Key points:

  • We implement industry-standard security measures

  • Data processing complies with applicable privacy laws

  • You are responsible for backing up your important data

  • We may access your account for support purposes with your consent

  • Data retention and deletion policies are outlined in our Privacy Policy

11. Service Availability & Modifications

Availability: While we strive for high uptime, we do not guarantee uninterrupted Service availability. Planned maintenance will be communicated when possible.

Modifications: We reserve the right to modify, suspend, or discontinue any Service features at any time, with or without notice. We will attempt to provide reasonable notice for significant changes affecting core functionality.

Third-Party Dependencies: Service availability depends on third-party providers, including High Level. We are not liable for outages or issues caused by third-party services.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

NO WARRANTIES: The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

LIMITATION OF DAMAGES: Legendary Success LLC's total liability for any claim will not exceed the total amount you paid us in the 3 months immediately preceding the claim. We are not liable for:

  • Indirect, incidental, special, consequential, or punitive damages

  • Lost profits, revenue, data, or business opportunities

  • Business interruption or system downtime

  • Third-party actions or service failures

  • Your reliance on the Service for critical business functions

  • Any losses resulting from fraudulent activities conducted by you or through your account

  • Damages arising from your fraudulent, deceptive, or illegal business practices

  • Customer disputes, chargebacks, or refund requests related to your business

  • Regulatory fines or penalties imposed on your business

Third-Party Services: We disclaim all liability for third-party integrations, plugins, or services, including High Level's platform performance.

User Conduct: We are not responsible for monitoring user conduct or verifying the legitimacy of user businesses, products, or services. You acknowledge that other users may engage in fraudulent or illegal activities, and we disclaim all liability for such conduct.

13. Indemnification

You agree to indemnify, defend, and hold harmless Legendary Success LLC, its affiliates, officers, employees, contractors, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your use of the Service

  • Your violation of these Terms or applicable laws

  • Your infringement of third-party rights

  • Content you submit through the Service

  • Your business practices using our Service

  • Any fraudulent, deceptive, or illegal activities conducted through your account

  • Products or services you sell or promote using the Service

  • Any false, misleading, or unsubstantiated claims you make about your products/services

  • Payment disputes, chargebacks, or fraudulent transactions related to your business

  • Your failure to comply with consumer protection laws, refund policies, or delivery obligations

  • Any harm caused to third parties through your use of the Service

  • Wrongful chargebacks initiated against Legendary Success LLC, including all associated costs, fees, and damages

  • Payment processing fees, chargeback fees, and administrative costs resulting from your payment disputes

14. Force Majeure

Neither party will be liable for delays or failures in performance resulting from acts beyond reasonable control, including natural disasters, war, terrorism, labor disputes, governmental actions, or third-party service failures.

15. Governing Law & Dispute Resolution

Governing Law: These Terms are governed by Michigan law, without regard to conflict of law principles.

Dispute Resolution: Before filing any lawsuit, you agree to attempt good-faith resolution through our customer support. Any legal disputes will be resolved exclusively in the state or federal courts located in United States of America, Michigan, and you consent to their jurisdiction.

Class Action Waiver: You agree to resolve disputes individually and waive rights to participate in class actions or collective proceedings.

16. Severability & Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between us and supersede all prior agreements.

17. Electronic Signatures & Acceptance

By checking "I agree to the Terms & Conditions" during registration or by using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. Your electronic acceptance has the same legal effect as a handwritten signature.

18. Changes to Terms

We may update these Terms at any time by posting revised terms on our website. Material changes affecting your rights or obligations will be communicated via email or account notification. Your continued use after changes constitutes acceptance of updated Terms.

19. Survival

Sections relating to billing, intellectual property, limitation of liability, indemnification, and dispute resolution survive termination of these Terms.

20. Affiliate Program

20.1 Affiliate Relationships: Superior Suite may be promoted and sold through independent affiliate partners. If you purchased Superior Suite through an affiliate, you acknowledge that:

  • Your contractual relationship for the Service is directly with Legendary Success LLC, not the affiliate

  • Affiliates are independent contractors and not employees, agents, or representatives of Legendary Success LLC

  • We are not responsible for any representations, promises, or claims made by affiliates beyond what is stated in these Terms

  • All billing, support, and service issues must be directed to Legendary Success LLC, not the affiliate

  • Any questions or support regarding bonuses offered by an affiliate musts be taken up with said affiliate.

20.2 Affiliate Compliance: Our affiliates are required to comply with all applicable laws and regulations when promoting Superior Suite, including:

  • FTC disclosure requirements for affiliate relationships

  • Truthful advertising standards

  • Anti-spam laws and regulations

  • Platform-specific terms of service (social media, email providers, etc.)

20.3 Affiliate Disclaimers:

  • Legendary Success LLC does not guarantee or endorse any specific results, income claims, or business outcomes promoted by affiliates

  • Any income claims, success stories, or testimonials shared by affiliates represent individual results and are not typical or guaranteed

  • You acknowledge that business success depends on many factors beyond the software platform itself

20.4 Reporting Affiliate Issues: If you experience issues with affiliate marketing practices or believe an affiliate has made false claims about Superior Suite, please contact us immediately at our support.
